Strategic Legal Partner for Innovators

Sally Baraka is the founder of Solversa Legal, a boutique IP law firm that serves as a trusted legal partner for tech founders, private equity-backed software companies, and international businesses expanding into the US. As a seasoned patent attorney and C-level advisor, Sally doesn’t just interpret the law.  She anticipates needs, advocates fearlessly, and empowers clients to innovate with confidence.  Her approach is rooted in strategic partnership: for private equity-backed software companies, she acts as an embedded resource, ensuring contracts and compliance are aligned with valuation goals and due diligence readiness. For founders and international businesses, she serves as a local guide, helping them navigate US procurement processes, data governance, and compliance - so they can win customer trust and accelerate growth.

Private Equity & M&A Leadership

Sally has led over $6.5 billion in private equity-backed recapitalizations and M&A transactions, including landmark deals for firms like Turn/River, Summit Partners, THL, Goldman Sachs, New Mountain Capital, and Thoma Bravo. As General Counsel at Redwood Software, she orchestrated the company’s  sale to Vista and Warburg Pincus in 2024, while driving savings through legal restructuring and tax optimization. Her expertise in due diligence preparation, post-acquisition integration, and cross-border compliance makes her an invaluable partner for PE firms and their portfolio companies.  She led the 2020 sale of Alfresco (THL) to Hyland Software (Thoma Bravo) as well as the 2019 sale of Paycor (Goldman Sachs) to Apax Partners.  At Sparta Systems, she led two successful recapitalizations (Summit, Thoma Bravo, New Mountain Capital), doubling EBITDA in four years—proving her ability to align legal strategy with business growth.

US Market Entry & Regulatory Compliance

For international tech companies, Sally bridges the gap between European processes and US procurement expectations. She has spearheaded go-to-market strategies for SaaS businesses from the Netherlands, Norway, Sweden, and the UK, ensuring faster sales cycles and compliance that builds customer confidence. Her work in transfer pricing and inter-company agreements has saved clients millions, enabling tax-efficient US expansion.

Software & AI Expertise

With a B.S. in Computer Science and deep experience in AI product rollouts, Sally translates technical complexity into strategic legal solutions. Her technical background has enabled her to strategically partner with engineering teams securing data usage rights while complying with global data privacy rules.

Sally holds a J.D. from Temple University Beasley School of Law and is admitted to practice in New Jersey, Pennsylvania, and New Hampshire. She serves on the New Hampshire Special Committee for Artificial Intelligenceand previously chaired the Philadelphia Commission on Human Relations.
